Domfolio – Terms of Service

These Terms of Service ("Terms") govern your access to and use of Domfolio ("Domfolio," "we," "us," or "our"), including our website, mobile application, and related services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. About Domfolio's Role

Domfolio is a technology platform that provides tools for property managers and tenants to communicate, organize information, and manage property-related records.

Domfolio does not own, operate, lease, manage, inspect, or maintain any properties. Domfolio is not a landlord, property manager, broker, agent, or legal representative of any user.

All rental and management relationships exist solely between tenants and property managers.

2. Eligibility

You must be at least eighteen (18) years old and capable of forming a legally binding contract to use the Platform.

By using the Platform, you represent and warrant that you meet these requirements.

3. User Accounts

The Platform supports two primary account types:

3.2 Registration

You agree to provide accurate, complete, and current information when creating an account and to keep such information updated.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.

Domfolio is not responsible for losses caused by unauthorized access resulting from your failure to secure your account.

4. Property Manager Responsibilities

Property managers are solely responsible for:

5. Tenant Responsibilities

Tenants are solely responsible for:

Submission of a request through the Platform does not guarantee response, repair, or resolution.

6. Maintenance Requests and Communications

6.1 Maintenance Requests

The Platform allows tenants to submit maintenance and service requests.

Domfolio does not monitor, enforce, verify, or guarantee responses, repairs, or compliance.

All responsibility rests with the applicable property manager.

6.2 Message Delivery

Domfolio may transmit communications through in-app messaging, email, SMS, or other methods.

Domfolio does not guarantee delivery, timeliness, accuracy, or receipt of communications. Technical failures, carrier issues, and system limitations may occur.

Users remain responsible for direct communication when necessary.

7. Consent to Electronic Communications

By using the Platform, you consent to receive electronic communications, including emails, notifications, and text messages.

You acknowledge that:

8. Subscription Fees and Payments

8.1 Fees

Property managers may be required to pay subscription fees to access certain features. Current pricing will be displayed within the Platform.

8.2 Billing

Subscriptions are billed on a recurring monthly basis unless canceled. You authorize Domfolio to charge your selected payment method.

8.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

8.4 Refunds

Fees are non-refundable except as required by law or expressly stated by Domfolio.

9. Data and Records

The Platform may store maintenance requests, messages, logs, and transaction data for convenience.

Records are provided "as-is" and may be incomplete, delayed, or inaccurate. Domfolio does not guarantee that records constitute legally admissible evidence.

Users are responsible for maintaining independent records.

10. Acceptable Use

You agree not to:

11. User Content

You retain ownership of content you submit.

By submitting content, you grant Domfolio a worldwide, royalty-free, non-exclusive license to host, store, display, transmit, and process such content for Platform operation.

You represent that you have all necessary rights to submit such content.

12. Intellectual Property

All Platform software, branding, designs, and content are owned by Domfolio or its licensors.

You may not copy, modify, distribute, sell, or exploit any portion of the Platform without prior written permission.

13. No Professional Advice

Domfolio does not provide legal, financial, accounting, or property management advice.

Information provided through the Platform is for general informational purposes only and should not be relied upon as professional advice.

14. Third-Party Services

The Platform may integrate with third-party services, including payment processors and messaging providers.

Domfolio is not responsible for third-party services or their actions. Your use of third-party services is subject to their respective terms.

15. Disclaimer of Warranties

The Platform is provided "as is" and "as available."

To the maximum extent permitted by law, Domfolio disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, and non-infringement.

Domfolio does not guarantee uninterrupted or error-free service.

16. Limitation of Liability

To the maximum extent permitted by law, Domfolio's total liability arising from or relating to the Platform shall not exceed the amount paid by you to Domfolio in the twelve (12) months preceding the claim.

Domfolio shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or property damage.

17. Indemnification

You agree to indemnify and hold harmless Domfolio and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

Domfolio may suspend or terminate your account at any time, with or without notice, for any reason.

You may terminate your account at any time.

Upon termination, your access rights will cease. Certain provisions will survive termination.

19. Governing Law and Venue

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles.

Any legal action shall be brought exclusively in state or federal courts located within Illinois.

20. Changes to Terms

Domfolio may modify these Terms at any time. Updated Terms will be posted on the Platform.

Continued use of the Platform after changes constitutes acceptance.
